I'm not aware of a standard "replacement phrase." I wonder if you couldn't leave the wording as is, and proceed as though it is the corporate officer positions taking those actions (even though you hold all of those officer positions) -- i.e., Secy motions, VP seconds, etc. Just a thought . . .

I have recently formed a S-Corporation for my web design services. I have purchased several Nolo books on the incorporation process and am in the process of writing my Bylaws and Minutes for the first Director's meeting using templates found in Nolo's kits.
I am the single owner, director, shareholder and employee of the company. In several places on the templates it states "On motion duly made and seconded, it was...". Obviously this does not pertain to my situation. Is there a generally used replacement phrase for such a situation?
