          LUCKIEST Guide
I Googled PPM and got the following,

PPM Financing is done through a preparing a Private Placement
Memorandum that offers shares or units of your company for sale. The
504 PPM must meet the requirements of the Securities and Exchange
Commission and therefore should be professional prepared. Special PPM
firms exist who provide funding for companies issuing PPM's that they
          are interested in.

          Hope it helps, LUCKIEST

A PPM for a private placement has much the same purpose as the prospectus for a public offering. On a commercial project, it gives the developer a medium for presenting everything that's required by law when seeking private investment capital (including full disclosure of all the potential risks to investors). The PPM protects the investors by telling them what they need to know before they put up their money, and protects the developer if the project goes bad. (Did that answer your question?)
