Consumer Data, Where to draw the line?

We are evaluating a potential affiliate that will assist in generating sales for our business. At first glance the organization seems to provide exactly what we need to reach a national audience at reasonable commissions...Great! There is one issue, terms of agreement. The fundamental element of our business is to exchange information through advertising. We feel that this information should be used strictly for job networking; however, the affiliate does not want to accept our terms as it relates to data ownership and usage (Red Flag). How do we engage in this partnership and still protect our brand?

Has anyone encountered a situation similar to this one, in where there is a difference in opinion on who owns the data or how the data should be used? Feel free to offer any suggestions; I am an advocate of feedback so please chime in.
