Seeking Equity Investor in Acquistion of Manufacturer

We are seeking an equity investor in the acquistion of a niche furniture manufacturer. We are the furniture manufacturers largest account (we don't represent more than 10%) of their annual sales. We sell via catalog and internet. The combined companies would have sales in excess of $ 2 million and a net of 5% -10% after debt repayment depending on the equity injection amount. The seller is retiring and has offered seller financing with favorable terms. We do want to completely leverage the deal so we are looking for an equity investment of $ 250,000 - $ 350,000.

The niche market is very fragmented and our long terms plans is to consolidate the few "major" players in the industry and build an $10 million company.

The manufacturer has been in existence for seven years - as well as us. The acquistion includes a building, equipment, inventory, and two showrooms.

We do have a business plan and financial projections.

Equit investement may or may not be a good idea in this instance. Equity is generally the most "expensive" form of financing and you are in an industry with large amounts of fixed assets and real estate - both very financible.

There is a 100% difference between 5% and 10% profit! Which is it? You are talking about a 50-100% swing in potential value here (profit/value 50% less than anticipated or 100% more depending on how you look at it).

The EBITDA (i.e. profut befire debt repayment and taxes) is a more important number than the debt payment number to undertsand the true profitability of the combined businesses.


Also, the size and profitability of the company you are acquiring needs to be taken into account - is it a good deal or not? Hard to tell with the limited information you provided.


Acquisition financing is a good way to recaplitalize both companies at once and start off with a strong balance sheet with working capital to grow.
