RE: Changing to the Type of Entity That's Right for You

Entity selection is more important than many people think. This is a good article to get people thinking about the decision, instead of just forming the entity de jour (LLC, right now).

I will say this for the LLC as an entity - if you find yourself in an LLC that doesn't fit, it is generally painless to convert it to something else. A corporation, on the other hand, may cost some tax dollars to convert into an LLC. If the decision is iffy, I say go with the LLC and make a change if need be.

Also, please, please, unless there is a VERY good reason not to own it under a different structure, never own real estate in a corporation (C or S) or any entity which is taxed like a corporation (such as an LLC which has elected to be taxed as a corp or S corp). I won't go into the messes this creates, but a reputable tax attorney or CPA can certainly guide you through this mine-field.

sound advice, many small business owners make the mistake of jumping right into an LLC because business and personal taxes are filed together. There are advantages to C and S corps as well.
